• Invoices are due within 14 calendar days of issuance unless otherwise agreed in writing.
• Certain engagements may require an advance retainer prior to commencement of work.
• Fees for additional scope or unforeseen complexity will be discussed and agreed before additional work is undertaken.
• In the event of non-payment, the Firm reserves the right to suspend work and, after reasonable notice, to terminate the engagement.

Payment methods accepted and banking details will be provided in the relevant invoice. The Firm does not accept cash payments for professional services.

Corporate Formation & Structuring

Timelines for incorporation engagements are subject to the processing times of the Department of Business Development and other Thai regulatory authorities. The Firm will communicate anticipated timelines but cannot be held responsible for delays attributable to government agencies or incomplete client-provided documentation.

Contract Review & Drafting

Turnaround times indicated on the Website are estimates and may vary based on document length, complexity, and the volume of annotations required. Legal review reflects the state of Thai law at the time of engagement. The Firm is not responsible for legislative changes occurring after delivery of the work product.

Regulatory Compliance Advisory

Compliance advice is based on the regulatory framework applicable at the date of the engagement. Ongoing regulatory change is the client's responsibility to monitor unless a continuing advisory arrangement is separately agreed. The advisory report constitutes analysis and recommendations, not a legal opinion for reliance in court proceedings.

To the fullest extent permitted by Thai law, the Firm's aggregate liability to any client or Website user in connection with these Terms or any engagement shall not exceed the total fees paid by that party to the Firm in the preceding 12 months.

The Firm shall not be liable for indirect, consequential, incidental, or punitive loss or damage, including lost profits, business interruption, or reputational harm, whether arising in contract, tort, or otherwise, even if advised of the possibility of such loss.

Nothing in these Terms limits liability that cannot be excluded under applicable Thai law, including liability for fraud or gross negligence.

You agree to indemnify and hold harmless Haldane, its partners, employees, and professional advisors against any claims, losses, damages, penalties, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your provision of false or misleading information in connection with an engagement.

Either party may terminate a service engagement by providing written notice, subject to the terms of the applicable Engagement Letter. Upon termination, the client is responsible for fees for work completed to the date of termination. The Firm will provide a final account and return any client documentation held, subject to any applicable lien for outstanding fees.

The Firm may also suspend or terminate access to the Website for users who breach these Terms, without prior notice where the breach is material.

Provisions of these Terms that are by their nature intended to survive termination — including intellectual property, limitation of liability, and dispute resolution — shall continue in effect.

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising under or in connection with these Terms shall first be referred to senior representatives of both parties for good-faith negotiation.

If negotiation does not resolve the dispute within 30 days, the matter shall be submitted to the jurisdiction of the Thai courts, with venue in Bangkok. Both parties agree to submit to the non-exclusive personal jurisdiction of the courts located in Bangkok, Thailand.

• Entire Agreement — These Terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties and supersede all prior representations or understandings.
• Severability — If any provision of these Terms is held unenforceable, the remaining provisions continue in full force.
• Waiver — Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
• Assignment — Users may not assign or transfer any rights or obligations under these Terms without the Firm's prior written consent.
• Notices — Formal communications should be sent to legal@{{DOMAIN_NAME}} or to the Firm's registered address.

The Firm may revise these Terms periodically. The "Last Updated" date at the top of this document will reflect any changes. Material revisions will be noted prominently.
